LEGAL INFORMATION

General terms and conditions

Version 2.1 · effective from 1 January 2027 · Previous versions · This is a translation; the Czech version is legally binding.

1. Introductory provisions and operator

In accordance with Section 1751(1) of Act No. 89/2012 Coll., the Civil Code (the “Civil Code”), these general terms and conditions (the “Terms”) govern the mutual rights and obligations of the operator and the customer in providing and using the MůjStavebník service (the “Service”).

The Service is operated by Michal Barvíř, IČO 10869409, registered office at T. G. Masaryka 956, 517 21 Týniště nad Orlicí, Czech Republic, a natural person doing business under the Trade Licensing Act, entered in the Trade Register (Trade Licensing Office Kostelec nad Orlicí) (the “Operator”). Place of business: T. G. Masaryka 956, 517 21 Týniště nad Orlicí. E-mail: info@mujstavebnik.cz, phone: +420 736 439 177, customer support: info@mujstavebnik.cz.

2. Who the Service is for

The service is intended exclusively for entrepreneurs and legal entities for their business activities (the “customer”). When ordering or registering, the customer confirms that it enters into the contract in the course of its business and provides its identification number (for a foreign company its VAT ID or a similar identifier) at the latest when completing the account. The consumer protection provisions of the Civil Code do not apply to the contract; in particular, there is no right to withdraw from a distance contract (Section 1829 of the Czech Civil Code). If the operator finds that an order was placed by a consumer, it proceeds under clause 3.4. The customer is responsible for the truthfulness of its declaration.

3. Conclusion of the contract

3.1 The contract for the service can be concluded (a) by ordering a paid plan online at mujstavebnik.cz/objednavka, (b) by registering a trial account if the operator offers a trial period, or (c) by an individual agreement with the operator.

3.2 Online order. The customer chooses a plan and period (monthly, or quarterly at 10% less; the periods offered are stated in the price list), enters the company ID, company name and e-mail, confirms that it orders in the course of its business and agrees to these terms including the automatic renewal of the subscription (clause 7a). It is then redirected to a secure payment page where it enters a payment card. Before confirming the payment it sees the plan, price, length of the period and the information that the payment will repeat automatically until the membership is cancelled; until then it can check and correct the details. The contract is concluded when the payment gateway confirms the first successful payment. The operator confirms the conclusion of the contract by e-mail with a link to these terms and a link to complete the account.

3.3 Completing the account. After payment, the customer fills in the company details (name, identification number, registered office, name of the responsible person) and sets a password; this makes the account available. The completion link is valid for 14 days and the customer can request a new one at any time. The paid period starts on the day of payment.

3.4 Uncompleted order and refund. If the customer does not fill in the company details within 30 days of payment, if the account cannot be created (for example a company with the same identification number already has an account) or if the operator finds that the order was placed by a consumer, the operator terminates the contract, cancels the automatic renewal and refunds the price in full to the payment method used.

3.5 Trial account. The customer fills in the registration form, confirms its agreement with these terms and verifies the e-mail address. The contract is concluded when the account is made available. The trial period does not automatically become paid when it ends (clause 6).

3.6 The contract is concluded in Czech; translations of the terms are for information only and the Czech version prevails in case of conflict. The operator keeps a record of the conclusion of the contract and of the consent to the terms (date and time, e-mail, a hash of the IP address, chosen plan and period, version of the terms and the exact wording of the confirmed texts) and makes it available to the customer on request.

4. Service and licence

The Service is software for managing construction projects provided over the internet (SaaS) in a web browser and in mobile apps for iOS and Android. The scope of features is described on the Features page. For the term of the Contract, the Operator grants the Customer and its users a non-exclusive, non-transferable and territorially unlimited right to use the Service within the chosen plan. The Operator continuously develops the Service and may change features provided this does not substantially impair what the Customer uses.

The mobile apps are free to download and provide access to an existing account. Subscriptions are arranged and paid exclusively on the website; nothing is bought or paid for in the mobile apps.

Intellectual property. The software, design, texts, the designer item catalogue, document templates and other parts of the service are protected by copyright and belong to the operator or its licensors; the customer acquires no rights other than the right to use the service under these terms. The customer may not copy, modify, reverse engineer (beyond what the law expressly permits), resell or make the service available to third parties other than its own users. Content that the customer enters into the service (data, photos, logos, documents) remains the customer's; the customer grants the operator a licence to it only to the extent necessary to provide the service (storage, display, calculations, export).

Assistants and connected external tools. The interior design assistant converts a text request into instructions for the designer using an external language model. Only the text of the request and technical design data (dimensions, fittings) are passed to the model provider; please do not include personal data in the request. Outputs of the assistants (layouts, texts, estimates) are indicative, may contain inaccuracies and the customer checks them before use. If the customer connects its own tool via the API, it transfers the data it grants access to on its own instruction to a provider of its own choice and is responsible for that transfer.

Links for customers and electronic acceptance of offers. The customer can make an offer or the progress of a construction project available to its client via a link with an unguessable key and allow the offer to be accepted or declined online. On acceptance, the name, confirmation of consent, an on-screen signature if any, date and time, IP address and browser details are stored. This is a simple electronic signature under Regulation (EU) No 910/2014 (eIDAS); the customer assesses whether it is sufficient for a particular contract. The customer can revoke a link at any time and is responsible for whom it shares links with; the customer is the controller of its client’s personal data.

5. Registration and user accounts

When registering, the Customer provides true and complete company details and keeps them up to date. The Customer is responsible for the accounts of its employees and collaborators, their permissions and the confidentiality of login credentials. The Customer must notify the Operator without undue delay of any suspected misuse of an account.

6. Trial period

6.1 The operator may, but need not, offer a trial period; its current availability and length are stated on the website and in the sign-up form (usually 30 days from the account being made available). During the trial period the service is free of charge and no payment details are required.

6.2 The operator may extend the trial period for an individual customer, or end it earlier by agreement with the customer or in the event of misuse of the service.

6.3 The operator notifies the customer by e-mail and an in-app notification 7 days and 1 day before the trial period ends.

6.4 The service is not charged automatically after the trial period ends. Until the customer pays for a plan, the account is locked: after signing in on the website only the plan selection with payment (card or bank transfer against an invoice) and the data export are available, and the mobile apps only show the account status. Data is not deleted; the retention rules in Art. 11 apply. The account unlocks as soon as the payment is received. The same rules apply to demo or trial access agreed with the operator.

7. Price, invoicing and payments

7.1 The price follows the price list valid on the day of the order for the chosen plan and period. The Listing add-on is charged under clause 11a.

7.1a The subscription can be paid monthly or quarterly. The quarterly subscription costs three times the monthly price less 10% (rounded to whole crowns). A yearly subscription is not offered at present; previously agreed yearly subscriptions continue unchanged until they end. The periods and prices offered are shown in the price list.

7.1b The operator announces a price change for existing customers by e-mail and an in-app notice at least 30 days in advance; the new price applies from the first period starting after the change takes effect. If the customer does not agree with an increase, they can end the membership at the end of the paid period. A price decrease can apply immediately.

7.1c An upgrade (a higher plan or a longer billing period) takes effect immediately and without any extra payment: the value of the remaining paid days is converted at the price of the new plan and period (rounded up to whole days in the customer's favour), so the paid period becomes shorter and the next payment or invoice comes earlier. Before confirming, the customer sees the number of days before and after the conversion and the date of the next payment. A plan can be upgraded once per paid period; a further upgrade is possible after the next payment. The modules of the higher plan become available immediately. Adding a listing or raising its level takes effect immediately; before confirming, the customer sees the pro-rata amount for the rest of the paid period, which is charged immediately for card payments and invoiced for bank transfers. A downgrade or a shorter billing period takes effect from the next period without a refund; the modules remain until the end of the paid period and data of modules not included in the new plan is not deleted – it is hidden, and earlier stock, notice board and 3D design data remain read-only and can be exported.

7.2 The operator is not a VAT payer; prices in the price list are final and invoices are not tax documents. If the operator becomes a VAT payer, the prices in the price list are deemed to be prices excluding VAT and VAT at the statutory rate is added to the price for periods starting after the registration date; the operator announces this at least 30 days in advance and the customer may terminate the contract as of the date of the change without penalty.

7.3 Payment can be made (a) for an online order by payment card with automatic renewal under clause 7a – the invoice is issued as paid after a successful payment; (b) for an individually agreed or existing subscription on the basis of an invoice issued in advance for the chosen period with the due date stated in it (usually 14 days) by bank transfer or QR payment. A payment is settled when credited to the operator’s account or confirmed by the payment gateway. The operator matches received transfers with invoices automatically by variable symbol and amount.

7.4 If an invoice under clause 7.3(b) is overdue, the operator notifies the customer by e-mail on the due date and again 2 days before termination. If the invoice is still unpaid on the 7th day after the due date, the membership ends automatically: the account switches to read-only mode under clause 11 (without the full access under clause 7a.7) and the data deletion period starts. The operator may extend this period for an individual customer. If the customer pays the invoice later, access is restored once the payment is credited; the obligation to pay the price remains. The operator is entitled to default interest under Government Regulation No. 351/2013 Coll. Failed card payments are governed by clause 7a.5.

7.5 Price changes for existing customers are governed by clause 7.1b; with automatic renewal the new price is charged from the first period starting after the change takes effect, unless the customer ends the membership before then. The price paid is not refunded unless clause 3.4, 7.2 or 15 provides otherwise.

7.6 The subscription is always paid in advance for the whole selected period; access for the next period is extended only after payment. For bank transfers the customer receives the invoice in advance (with a variable symbol and QR payment) and the operator activates the new company after checking the order; a rejected order is announced by e-mail with the reason and any payment received is refunded. Further invoices are issued in advance, usually 14 days before the period starts.

7.7 A discount (discount code or individual discount) can be used only under the conditions stated for it (scope, period, number of periods, validity, usage limit). The discount appears on the invoice as a separate line; for card payments it is applied by the payment gateway. Discounts cannot be combined or exchanged for cash.

7a. Automatic renewal of the subscription and cancelling the membership

7a.1 A subscription ordered online renews automatically. The customer authorises the operator to charge the price of the chosen plan and, where applicable, of the Listing add-on to the stored payment card via the payment gateway at the start of each further period – monthly or quarterly as chosen (yearly for a previously agreed annual subscription) – until the membership is cancelled. When adding a listing or raising its level, the customer also authorises the operator to charge the pro-rata amount under clause 7.1c that it sees before confirming; a plan upgrade involves no extra payment.

7a.2 After each successful payment, the operator issues an invoice for the paid period marked as paid and sends it by e-mail as a PDF. Invoices are also available under My subscription.

7a.3 Cancelling the membership. The company owner can cancel the membership at any time on the website under My subscription → Cancel membership, in the mobile app or by e-mail to info@mujstavebnik.cz. Cancellation takes effect at the end of the period already paid; until then the service works as before and no further payment is charged. Until the end of the period, the cancellation can be undone with Resume membership. The operator confirms the cancellation by e-mail with the end date. After the end of the paid period, the customer still has full access under clause 7a.7.

7a.4 Plan changes are made on the website under My subscription. An upgrade takes effect immediately and without any extra payment; the remaining paid days are converted under clause 7.1c and the next payment is charged to the stored payment card on the date the customer sees before confirming. A downgrade or a shorter billing period takes effect from the next period; no refunds are given.

7a.5 Failed payment. If a payment cannot be charged, the payment gateway retries it automatically over the following days for up to 7 days and the operator asks the customer by e-mail and in the app to update the card. The service keeps working during this time. If the last attempt also fails, the subscription ends and the account is read-only straight away under clause 11; the full access under clause 7a.7 is not provided in this case, because the service already kept working while the payment was retried.

7a.6 Payment card details are processed exclusively by the payment gateway; the operator neither sees nor stores them. The card can be changed under My subscription on the secure payment page. Subscriptions are not ordered or paid in the mobile apps; they show the subscription status, next payment and invoices and allow the membership to be cancelled; resuming the membership or changing the plan is only possible on the website.

7a.7 Full access after the membership ends. If the membership ends because the paid period expires (cancellation under clause 7a.3, termination by the operator at the end of the period, or the end of a bank-transfer subscription at the end of the paid period), the customer may keep using the service in full for 7 more days; nothing is charged for these days. The day before they end, the operator notifies the customer by e-mail and in the app. If the customer renews the membership during this time, the service continues without interruption and payment starts only from the renewal. The extra full access is not provided when the membership ends for non-payment (clauses 7.4 and 7a.5), on immediate termination or withdrawal under clause 15, or for a disputed payment. Clause 11 then applies to the data.

8. Customer’s rights and obligations

The Customer uses the Service in accordance with the law and these Terms. It must not misuse it, in particular compromise its security, circumvent permissions, attempt to access other customers’ data, load it with automated requests outside the published API or upload unlawful content or malicious code. The Customer is responsible for the content it uploads (projects, documents, photos, personal data of employees and customers).

As an employer and controller of personal data, the customer in particular: (a) before switching on attendance with location, demonstrably informs employees of the scope, purpose and method of monitoring (the location is stored only when arrival and departure are recorded), of the legal basis and retention period, and does not use the location for any other purpose; (b) has a legal basis for the data of its customers, suppliers and employees and for e-mails the service sends on its instruction (invoices, offers, reminders, offer follow-ups); (c) informs data subjects about the processing, in particular customers who fill in the inquiry form on its website; (d) enters health data (e.g. sick leave) only to the extent necessary; (e) is responsible for the content of messages in the company chat and for whom it shares links to offers and project progress with.

9. Availability, maintenance and support

The operator strives for the highest possible availability of the service but does not guarantee uninterrupted and error-free operation. It may restrict or interrupt the service for the necessary time for maintenance, updates, security or an outage on the side of third parties; planned maintenance is preferably done outside working hours. Support is provided by e-mail and in the support chat in Czech and Slovak (in other interface languages where possible) on working days, usually within one working day; for the Komplet plan the operator handles requests with priority. The times are indicative and do not constitute a guaranteed service level.

Operator access to data. Authorised staff of the operator view the customer’s data only to the extent necessary: at the customer’s request (support, bug report), to ensure the security and operation of the service or for a legal reason. In support mode, support can view the data and, at the customer’s request, edit it (without exporting data or changing passwords or login accounts), for at most 30 minutes, and every opening and change is recorded in the company history visible to the customer.

10. Service defects and complaints

The Customer reports a defect of the Service (an error or unavailability) without undue delay by e-mail or in the support chat, describing how it manifests. The Operator remedies the defect within a reasonable time and informs the Customer. Remedying the defect is the Customer’s primary remedy; the Customer may claim a price reduction or terminate the Contract only if the Operator fails to remedy a material defect even within an additional reasonable period of at least 30 days. Claims for defective performance and damages become time-barred after one year (Section 630 of the Civil Code).

11. Customer data, backups, export and switching to another provider

Data entered by the Customer belong to the Customer. The Operator processes them only to provide the Service, does not pass them to third parties for marketing and backs them up daily. Backups serve to restore the Service as a whole; the Customer is responsible for regularly exporting data it considers important. The Customer can export the data at any time in a structured, commonly used and machine-readable format (e.g. CSV, JSON, PDF and ISDOC). The Operator may use anonymised aggregated usage data, from which neither the Customer nor any person can be identified, to improve the Service.

In accordance with Regulation (EU) 2023/2854 (Data Act), the customer has the right to switch to another provider or to its own infrastructure; it may terminate the contract with a notice period of at most two months. After the contract ends and after any full access under clause 7a.7, the account is read-only for 30 days (after a subscription ends for non-payment or a trial period ends without an order, read-only mode starts straight away) and the customer can export all exportable data; the operator provides assistance. The operator charges nothing for switching or exporting. No later than 90 days after the contract ends (counted from the end of the paid period, with the days of full access included), the operator deletes the customer’s data, files, user accounts and logins; it notifies the company owner by e-mail 30 and 7 days in advance and may postpone the deletion on request. In backups, which are stored only on the service’s server, the data disappears when they are overwritten, within a further 30 days at the latest. The operator keeps only data it must retain by law (in particular invoices issued to the customer and the record of the conclusion and termination of the contract). At the customer’s request it deletes the data earlier.

11a. Company directory (Listing)

11a.1 The operator runs a public directory of construction companies at mujstavebnik.cz/firmy and in its language versions. A company profile (the “listing”) can be ordered as an add-on to the plan in the company settings or – for companies without an account – via the I want to advertise form. Prices of the listing levels (Basic, Highlighted, Top) are shown on the I want to advertise page and apply per month; quarterly payment costs 10% less.

11a.2 The listing price is paid together with the subscription as a separate item of the automatic payment and invoice; without card payment it is added to the next invoice. The listing can be cancelled as of the end of the paid period and remains published until then. For companies without an account the listing is paid online by card under clause 11a.7 or, by agreement, by an invoice issued in advance for the agreed period.

11a.3 The content of the profile (description, trades, regions, contacts, logo, photos of completed work, references, opening hours) is entered by the company owner or a user with the Listing management permission, and the customer is responsible for its truthfulness and legality and for having rights to the photos and logos and the consent of persons whose data it includes. The profile and its changes are published only after approval by the operator. Approval checks the form and obvious illegality, not the truthfulness of the information.

11a.4 The operator may reject, hide or remove a profile or part of it if the content is unlawful, misleading, infringes the rights of third parties or these terms, or if the advertiser does not pay the price. It always informs the advertiser of the reason and the option to object at info@mujstavebnik.cz. It announces termination of a listing for other reasons at least 30 days in advance. Test and sample companies are never published in the directory.

11a.5 By publishing the profile, the advertiser acknowledges that its data (including name, telephone and e-mail if it is a sole trader) will be publicly available and findable by search engines. A visitor can send the company an inquiry from the profile; the operator forwards it only to that company by e-mail and to Inquiries in the system, does not keep the content of the inquiry and the advertiser becomes the controller of the personal data in it. The operator does not guarantee the number or quality of inquiries and is not a party to a contract between the advertiser and the prospect.

11a.6 How we rank companies. Profiles are ranked by listing level (Top, Highlighted, Basic), within a level by the order set by the operator and by publication date; the visitor’s filters (region, trade, town, search text) only narrow the selection. The ranking is not an assessment of the company’s quality and nothing is paid for a better position other than the listing level. View and click statistics are indicative.

11a.7 A listing can also be ordered and paid online without a plan; this creates a listing-only account (profile editor, photos, enquiries, invoices and cancellation) that does not include the company management application. The listing is paid monthly or quarterly (10% less than monthly); the profile is published after payment and approval by the operator. Switching to a plan later keeps the profile and the listing.

11a.8 If the listing is not paid, the profile is hidden from the directory 7 days after a failed payment or after the invoice due date (the data stays) and is published again after payment. The operator notifies the advertiser on the day of the failed payment or due date and 2 days before hiding.

11a.9 The operator may edit a profile that breaks these terms (for example false information or inappropriate content), remove photos from it, hide it and lock individual fields against changes. It always tells the advertiser the reason and what was changed; the changes are also visible in the listing settings. Visitors can report a profile; the operator checks every report.

11a.10 The directory may show a sample profile and an advertising offer; they are visibly marked as a sample and do not represent a real company.

12. Processing of personal data on behalf of the Customer (data processing agreement)

For personal data that the customer enters into the service or that the service obtains on its instruction, the customer is the controller and the operator is the processor under Article 28 of Regulation (EU) 2016/679 (GDPR). This article is the data processing agreement:

  • Subject matter and duration: processing for the purpose of providing the service for the term of the contract and the periods under clause 11.
  • Nature of processing: storage and backup, display and calculations (attendance, wages, budgets), creation of documents and images, sending e-mails and notifications on the customer’s instruction, making data available via links for the customer’s clients, receiving inquiries from the form on the customer’s website and from the directory, geocoding addresses and connecting to a bank and other tools the customer switches on.
  • Categories of data subjects: employees and contractors of the customer, its clients, prospects and suppliers, investors and other persons named in jobs and documents.
  • Categories of data: identification and contact details; work data (role, rates, hours worked, wages, absence including sick leave, which may be health data under Article 9 GDPR); attendance and location at the moment of recording arrival and departure; site locations; photos and documents; company chat messages; data in offers, invoices and bank transactions; name, signature, time, IP address and browser on acceptance of an offer; content of inquiries; login and audit records.
  • Instructions: the operator processes the data only on documented instructions of the customer, which consist of these terms and the settings and use of the service, including transfers to third countries, and informs the customer if in its opinion an instruction infringes the law. Transferring data to a tool, bank or calendar connected by the customer itself (API, bank connection, calendar subscription) is the customer’s instruction and such recipients are not sub-processors of the operator.
  • E-mails to the customer's clients: the operator sends them on the customer's instruction through its e-mail service provider (the sender is the customer's name with the service address, replies go to the customer), or – if the customer connects it – through the customer's mail server from the customer's address; the provider of that server is an instruction of the customer, not a sub-processor of the operator. If the customer's server fails, the operator sends the e-mail through its own provider and notifies the customer. Messages and attachments that the customer's clients send via the construction page are processed by the operator like the customer's other data.
  • Authorised persons, confidentiality and security (Article 32 GDPR): only authorised persons of the operator bound by confidentiality have access to the data, to the extent set out in clause 9. Measures: encrypted transfer, separation of each company’s data, role-based permissions, two-factor authentication for administrators, audit trail, encryption of sensitive access credentials, verified daily backups on the server and regular updates.
  • Sub-processors: the customer gives general authorisation to use sub-processors in these categories: a hosting provider with registered office and servers in the Czech Republic, an e-mail service provider (Czech Republic), notification delivery services of mobile platform and browser operators (may process data in the USA), a language model provider for the design assistant (USA) and address search and map services (Czech Republic, United Kingdom). The current list with names, registered offices and safeguards is on the Sub-processors page. The operator informs the customer of an intended change by e-mail at least 30 days in advance; the customer may raise a reasoned objection until then and, if it is not accommodated, terminate the contract without penalty. Sub-processors are bound by the same obligations as the operator.
  • Third countries: the operator transfers data to countries outside the European Economic Area only where there is a European Commission adequacy decision (including the EU-US Data Privacy Framework for certified recipients) or on the basis of standard contractual clauses (Article 46 GDPR).
  • Assistance and security breaches: the operator helps the customer handle data subject requests (export, correction, erasure in the interface) and fulfil its obligations under Articles 32 to 36 GDPR. It notifies the customer of a personal data breach without undue delay, at the latest within 48 hours of discovery, describing the nature of the breach, the categories and approximate number of data subjects affected, the likely consequences and the measures taken. Assistance beyond the functions of the service may be charged according to the work actually performed.
  • Termination and audit: after the contract ends, the operator enables export of the data and then deletes it under clause 11 unless the law requires it to be kept. The operator provides the information necessary to demonstrate compliance with these obligations; the customer may carry out an audit at most once a year, at its own cost, with at least 30 days’ notice and so as not to disrupt the service or the protection of other customers’ data.

Processing of personal data for which the Operator is the controller is described on the Privacy policy page.

13. Illegal content and point of contact

The single point of contact for public authorities, the European Commission and users under Regulation (EU) 2022/2065 (the Digital Services Act) is info@mujstavebnik.cz; communication is possible in Czech, Slovak and English. The Operator does not review customers’ content in advance. Content that the notifier considers illegal can be reported to the same address – with a description, location, justification and the notifier’s contact details. The Operator assesses the notice without undue delay, disables access to illegal content, informs the notifier and the customer concerned of its decision and gives reasons. Decisions can be contested at the same address.

14. Liability

The service is a tool for records and calculations; the customer is responsible for the correctness of input data and for decisions made on their basis (e.g. wages, taxes, prices, reports). The operator is not liable for damage caused by an outage of the customer’s internet connection, interference by third parties beyond its control or force majeure. The operator is liable only for actual damage; it is not liable for lost profit, loss of data or indirect and consequential damage. The operator’s total liability for damage is limited to the price paid by the customer for the last 12 months before the damage occurred. These limitations do not apply to damage caused intentionally or by gross negligence or to harm to natural human rights (Section 2898 of the Civil Code). The customer compensates the operator for damage and third-party claims arising from content it entered into the service or from a breach of these terms. Calculations of quantities, materials, wages and prices as well as outputs of the assistants are aids; the customer checks them before use (e.g. in an offer, invoice or material order).

The VAT regime (VAT payer, non-payer, identified person), its changes, VAT rates and other tax details on documents are chosen and set by the customer, who is responsible for their correctness and compliance with the law. The service only prepares documents and calculations accordingly; the operator does not assess the customer’s tax obligations and is not liable for the correctness of the chosen tax regime or rates, or for the tax consequences of their use.

15. Term and termination of the Contract

The contract is concluded for an indefinite period. The customer may terminate it at any time without giving reasons and without penalty using the Cancel membership button (clause 7a.3), by e-mail or by a message in the support chat; the service then continues until the end of the paid period, can then be used in full for 7 more days under clause 7a.7, and the periods under clause 11 apply to the data. A request by the company owner to close the account and the company is also a notice of termination: automatic renewal ends and the data is deleted under clause 11 unless the customer asks for earlier deletion. The operator may terminate the contract with one month’s notice. In the event of a serious breach of the terms (in particular an attack on the security of the service, misuse of the service or a payment delay of more than 14 days after a reminder; automatic end of membership for non-payment is governed by clauses 7.4 and 7a.5), the operator may withdraw from the contract with immediate effect. If the customer terminates the contract, the price paid is not refunded; if the operator terminates it without the customer having breached its obligations, it refunds the pro-rata part of the price paid for the period after the end of the contract.

16. Changes to the Terms

The Operator may change these Terms to a reasonable extent (Section 1752 of the Civil Code), in particular due to changes in legislation, development of the Service or security. The Operator notifies the Customer of a change by e-mail or in the app at least 30 days before it takes effect. If the Customer does not agree, it may terminate the Contract without penalty before the change takes effect; otherwise the change is deemed accepted.

17. Notices and communication

Communication takes place electronically – by e-mail to the addresses stated in the Customer’s account and to the Operator’s address, or by a message in the app. A message is deemed delivered on the day it is sent unless proven otherwise.

18. Governing law, disputes and final provisions

The contract and the relationships arising from it are governed by the laws of the Czech Republic, in particular the Civil Code. Disputes will preferably be resolved by agreement; otherwise the court with local jurisdiction is the court of the operator’s registered office. The parties exclude the application of Sections 1799 and 1800 of the Civil Code on adhesion contracts and the customer assumes the risk of a change in circumstances (Section 1765(2) of the Civil Code). If any provision of the terms is invalid or ineffective, the other provisions remain unaffected. These terms in version 2.1 are effective from 1 January 2027 for contracts concluded from that date; for contracts concluded earlier they take effect 30 days after the change is announced (clause 16). All previous versions remain permanently available in the archive.
